Candidate Agreement (Freelance)

(hereinafter referred to as "CANDIDATE") and DESIGNERDOCK Berlin GmbH (hereinafter referred to as "DESIGNERDOCK").

1. Preliminary remark

1.1 DESIGNERDOCK places the CANDIDATE with companies for contracted or freelance work. For this purpose, the CANDIDATE will be included in a pool and relevant offers will be suggested to him/her.

2. Duration and commission for a freelance placement

2.1 If a freelance placement is made with a company (hereinafter referred to as "COMPANY"), the CANDIDATE shall be liable to pay a commission to DESIGNERDOCK.

2.2 The CANDIDATE shall pay a commission of 10% for the placement by DESIGNERDOCK. This amount refers to the net fee that the contracting party settles with the COMPANY. This applies for a period of 18 months.

2.3 All services that the CANDIDATE provides for a COMPANY during the commission period are subject to commission.

2.4 The commission claim arises through the referral of a freelance job by DESIGNERDOCK. Referral means the establishment of contact between the COMPANY and the CANDIDATE that has at least contributed to a cooperation (hereinafter referred to as "referral"). In case of doubt, the referral by DESIGNERDOCK shall be considered as contributory cause if a contractual relationship between the CANDIDATE and the COMPANY is established within 24 months of the referral.

2.5 The CANDIDATE undertakes to provide DESIGNERDOCK, without being requested to do so, with information on the net fee invoiced by the CANDIDATE within 7 days after the invoice has been issued to the COMPANY in order to enable DESIGNERDOCK to settle its commission claims.

2.6 The commission shall be due and payable 14 days after receipt of the fee paid by the COMPANY to the CANDIDATE, but not before receipt of the commission statement from DESIGNERDOCK.

3. Miscellaneous

3.1 The CANDIDATE agrees that DESIGNERDOCK may collect, process or use personal data of the contracting party to the extent necessary for the placement.

3.2 In case of interest in a placement in another location in the DESIGNERDOCK network (listed at www.designerdock.com), the application documents will be made available to the respective DESIGNERDOCK location in an effort to procure work for the CANDIDATE there.

3.3 This contract is subject to German law. The local court of Berlin-Charlottenburg is responsible for all disputes arising from this contractual relationship, provided that the contractual partner is a legal entity.

3.4 Should a provision of this contract be or become invalid, the validity of the rest of the contract shall remain unaffected.
